Customer Terms of Service
Last updated November 5, 2026
These Customer Terms are an agreement between Barkyard Dog LLC ("Barkyard", "we", "us") and the business that subscribes to Barkyard ("Customer", "you"). By creating a daycare account, accepting these terms in the app, or paying for a subscription, you agree to them. If you accept on behalf of a business, you confirm that you have authority to bind it.
Families and staff who use Barkyard through your account are covered by our User Terms. Our Privacy Policy describes how we handle personal information.
1. The service
Barkyard is software for running a dog daycare or boarding business: capacity, bookings, check-in, credits, billing, customer records and related emails (the "Service"). We'll provide the Service with reasonable skill and care, and we may improve or change features over time. If we remove a feature you materially rely on, tell us. If we can't offer a reasonable alternative, you may cancel and receive a pro-rated refund of any prepaid fees.
2. Your account and users
- You choose who gets access: owners, staff and the families you invite ("Users"). You're responsible for what your Users do in your account, and for removing access when someone leaves.
- Keep the email accounts used to sign in secure. Sign-in links give access to your account.
- Tell us promptly at [email protected] if you believe your account has been accessed without permission.
3. Fees and billing
- The subscription is billed per location, either monthly (currently $99) or annually (currently $990), in US dollars, in advance.
- Subscriptions renew automatically for the same period until canceled. You can cancel at any time. Cancellation takes effect at the end of the current billing period, and we don't refund partial periods except where these terms say so.
- We may change prices with at least 30 days' notice. A change applies from your next renewal after the notice period.
- Fees don't include taxes. You're responsible for any sales, use or similar taxes on your subscription, other than taxes on our income.
- If a payment fails, we'll let you know. If it isn't resolved within 14 days, we may suspend the account until it is. Suspension doesn't delete your data.
4. Payments from your customers
Barkyard lets you take payments from your customers through your own Stripe account. For those payments:
- You must hold a Stripe account in good standing and agree to Stripe's terms, including theStripe Connected Account Agreement. Your contract for payment processing is with Stripe, not with us.
- Customer payments go directly to your Stripe account. Barkyard isn't a payment processor or money transmitter. We don't hold your funds, and we don't take a share of your payments. Stripe's fees apply.
- You set your own prices, deposits, credits, cancellation policies and refunds. You're responsible for honoring them, and for any chargebacks, disputes and refunds with your customers.
- Issue refunds through Barkyard rather than directly in Stripe, so that balances and records stay accurate. We're not responsible for differences caused by changes made outside Barkyard.
5. Your data
"Customer Data" means the information you and your Users put into Barkyard, such as customer and dog records, vaccination records and documents, agreements, bookings and billing records.
- Ownership. You own Customer Data. You give us permission to host, process and display it only as needed to provide, secure and support the Service for you, and as the law requires.
- Our role. For personal information in Customer Data, we act as your service provider and process it on your behalf and according to your instructions, which are these terms and your use of the Service. We won't sell it, share it for advertising, or use it for any purpose other than providing the Service to you. We won't combine it with information from other customers, except as needed to run the Service.
- Service providers. We use the subprocessors listed in our Privacy Policy and will update that list before adding new ones. We stay responsible for their work on your behalf.
- Security. We maintain reasonable administrative, technical and physical safeguards for Customer Data, and keep it separate from other customers' data.
- Incidents. If we confirm unauthorized access to your Customer Data, we'll notify you without undue delay, tell you what we know, and help you meet any notification duties you have.
- Requests from individuals. If one of your customers asks us about their data, we'll refer them to you. We'll help you respond to their requests where needed.
- Aggregated data. We may use de-identified, aggregated information about how the Service is used, which doesn't identify you, your Users or any individual, to operate and improve the Service.
6. Your responsibilities
- Notices and permissions. You're responsible for having the right to collect and use your customers' information and for giving them any notices the law requires. That includes your own privacy notice where needed.
- Your agreements and policies. Barkyard can collect signatures on your agreement or waiver, and can enforce the vaccination, trial and capacity rules you configure. You decide the content of those agreements and rules. They're between you and your customers. Barkyard doesn't provide legal, veterinary or insurance advice and doesn't review your documents.
- Care of animals. You're solely responsible for your services, including the care, health and safety of the animals in your care. Barkyard is a record-keeping and scheduling tool. Check vaccine documents and other records yourself before relying on them.
- Acceptable use. Don't use the Service to break the law or infringe anyone's rights, to send spam, to upload malware, to probe or overload our systems, to access other customers' data, or to resell the Service without our permission.
7. Our property and feedback
We own Barkyard, including the software, design and content we provide. These terms don't transfer any of our rights to you, other than the right to use the Service during your subscription. If you send us suggestions, we may use them without obligation to you.
8. Confidentiality
Each of us will protect the other's non-public business information, using at least reasonable care, and use it only for the purposes of this agreement. This doesn't apply to information that is public, already known to the receiving party, received from someone else lawfully, or independently developed. Either party may disclose information where the law requires it.
9. Term, cancellation and your data afterwards
- These terms apply from when you first accept them until your subscription ends.
- Either of us may end the agreement if the other materially breaches it and doesn't fix the breach within 30 days of written notice. We may suspend access immediately if needed to prevent harm to the Service, to other customers or to the public, or for non-payment as described above.
- When your subscription ends, you can ask us for an export of your Customer Data within 30 days. We'll then delete Customer Data within 90 days. The exceptions are records we must keep by law, and backups, which are overwritten on their normal cycle.
- Sections 4 (for payments already made), 5, 7, 8, 10, 11, 12 and 13 continue after the agreement ends.
10. Warranties and disclaimers
Each of us confirms that it has authority to enter into this agreement. We'll provide the Service in line with these terms. If it doesn't perform as described, tell us. Our responsibility is to make reasonable efforts to fix the problem, and, if we can't, you may cancel and receive a pro-rated refund of prepaid fees.
EXCEPT AS STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DON'T PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
TO THE EXTENT THE LAW ALLOWS: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR GOODWILL, EVEN IF IT WAS TOLD THEY WERE POSSIBLE; AND (B) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT IS LIMITED TO THE FEES YOU PAID TO BARKYARD FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. THESE LIMITS DON'T APPLY TO YOUR OBLIGATION TO PAY FEES, TO EITHER PARTY'S INDEMNITY OBLIGATIONS, OR TO BREACHES OF SECTION 8 (CONFIDENTIALITY).
Amounts that your customers pay you through Stripe aren't fees paid to Barkyard.
12. Indemnities
- We'll defend you against any third-party claim that the Service, as we provide it, infringes that party's intellectual property rights, and pay the resulting damages and costs awarded or agreed in settlement. This doesn't cover claims caused by your data, your modifications, or your combination of the Service with things we didn't provide. If such a claim happens, we may modify the Service, get you the right to keep using it, or end your subscription and refund prepaid fees.
- You'll defend us against any third-party claim arising from your services to your customers, including the care of animals, injuries, losses and disputes over your agreements, prices or refunds; from Customer Data; or from your breach of section 6. You'll pay the resulting damages and costs awarded or agreed in settlement.
- The party seeking defense must notify the other promptly, let it control the defense and settlement, and provide reasonable cooperation. Neither party may settle a claim in a way that admits fault by the other without that party's consent.
13. General
- Governing law and courts. These terms are governed by the laws of the State of Maine, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in Maine, and both parties consent to those courts' jurisdiction.
- Changes to these terms. We may update these terms. We'll give at least 30 days' notice of material changes by email or in the app. If you don't agree, you may cancel before the change takes effect and receive a pro-rated refund of prepaid fees. Continuing to use the Service after the effective date means you accept the change.
- Notices. We'll send notices to your account's owner email. Send notices to us at[email protected].
- Events beyond our control. Neither party is responsible for delays caused by events outside its reasonable control, such as outages of internet or hosting providers, natural disasters or government action. This doesn't apply to payment obligations.
- Assignment. Neither party may transfer this agreement without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its relevant business.
- Entire agreement. These terms, together with any order or pricing terms you accept in the app, are the whole agreement between us about the Service. If a provision is unenforceable, the rest still applies. Not enforcing a provision isn't a waiver. Nothing in these terms creates a partnership, agency or employment relationship.
